Terms of Service

1. Agreement

These Terms of Service govern your access to and use of batterypoolhq.com and the BatteryPool battery-swap network (collectively, the "Service") operated by BatteryPool Pvt. Ltd. ("the Company," "we," "us," or "our") (Amar Business Zone, Baner Road, 5th Floor, Pune, Maharashtra 411045, India). By creating an account, performing a swap at a BatteryPool station, or otherwise using the Service, you accept these Terms in full. Nothing in these Terms limits any rights you hold under the mandatory laws of your country of residence.

2. Eligibility and Account Registration

• You must hold a valid driving licence for the class of electric two-wheeler you operate, or otherwise be of legal age in your jurisdiction to enter a binding contract.
• Fleet operator accounts must be registered by an authorised representative of the business entity.
• You agree to provide accurate registration information and to keep your account credentials secure. You are responsible for all activity that occurs under your account.
• You agree not to use the Service unlawfully, to interfere with its operation, or to attempt unauthorised access to any part of the BatteryPool platform or station network.
• You may not scrape, reverse-engineer, or reproduce any part of the Service except as expressly permitted by mandatory law.

3. Battery Swap Service Conditions

BatteryPool operates a network of battery-swap stations for compatible electric two-wheelers. By using a swap station, you agree to the following conditions:

• Compatible vehicles only. Swaps are available for vehicle models that are mechanically compatible with BatteryPool pack format. Attempting to use an incompatible pack may damage your vehicle and voids any service guarantee.
• Pack condition on return. You agree to return the depleted pack in the condition in which it was received, without physical damage beyond ordinary discharge use. Damage caused by misuse, improper storage, or modification is your responsibility.
• Rider responsibility. You are responsible for safely handling, inserting, and securing the battery pack in your vehicle. The Company provides guidance at stations and through the mobile app; safe installation remains the rider's responsibility.
• Station availability. The Company targets high station availability during standard operating hours but does not guarantee that a charged pack will be available at every station at all times. Station availability information is provided through the app in real time.
• No unauthorised modification. You may not tamper with, bypass, or modify any battery pack, charging hardware, or station electronics belonging to the Company.

4. Fleet Subscriptions and Billing

Fleet Starter, Fleet Pro, and Enterprise subscriptions are offered on a monthly basis as described on the BatteryPool pricing page. Per-swap fees are charged in addition to any monthly subscription fee. All prices are in Indian Rupees (INR) and are exclusive of applicable taxes. The Company reserves the right to update pricing with 30 days' notice to registered fleet accounts. Continued use of the Service after a price change constitutes acceptance of the revised fees.

5. Intellectual Property

The Service, including the BatteryPool platform, AI dispatch system, software, trademarks, and all associated content, is owned by the Company or its licensors and is protected under applicable Indian and international intellectual-property law. We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose. No rights are granted beyond what is expressly stated here.

6. User Content and Data Submissions

You are responsible for any data or content you submit to the Service. By submitting swap-event data, fleet operational data, or other information through the platform, you grant the Company a limited licence to use, store, and process that data to provide and improve the Service, as described in our Privacy Policy.

7. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, the Company disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not warrant that the Service will be uninterrupted, error-free, or that any particular station will have a charged pack available at the time of your arrival. Mandatory consumer protections applicable under Indian law are not affected by this disclaimer.

8. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability for any claim arising from or related to the Service will not exceed the amount you paid for the Service in the three months preceding the claim, or INR 5,000, whichever is greater. This limitation does not apply to liability arising from the Company's gross negligence, wilful misconduct, or liability that cannot be limited under mandatory Indian law.

9. Indemnification

You agree to indemnify and hold harmless the Company, its directors, employees, and agents from and against any claims, damages, losses, and costs (including reasonable legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your breach of any applicable law; or (c) your violation of any third-party right, including any battery pack misuse resulting in physical damage to a third-party vehicle or property.

10. Termination

The Company may suspend or terminate your access to the Service for material breach of these Terms, non-payment of fees, or conduct that endangers the safety of the network or other users. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) will remain in effect.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any dispute arising from or related to these Terms or the Service will be subject to the non-exclusive jurisdiction of the competent courts in Pune, India, without prejudice to any mandatory consumer-protection rights you hold under the laws of your country of residence.

12. Changes and Contact

The Company may update these Terms from time to time. Material changes will be posted with a new "Last updated" date and, where reasonable, notified to registered users. Continued use of the Service after the effective date of any revision constitutes acceptance of the updated Terms.
